Merkley noted there has been more press recently regarding South Dakota Medicaid Expansion. A couple of groups are pursuing support for ballot measures (Dakotans for Health and South Dakotans Decide Healthcare). Brookings Health System is supporting the South Dakotans Decide Healthcare Coalition as they begin to circulate petitions and work towards passing a ballot measure in 2022 to reform South Dakota Medicaid which will help an estimated 55,000 South Dakotans currently uninsured and it will also benefit the rural healthcare system.

Executive Reports

CEO Report

Merkley noted we are working with the Environmental Health & Safety department at SDSU to assist us in N95 mask decontamination utilizing their UV light. The UV light decontamination will extend the use of the masks and help conserve our PPE. A leading manufacturer and distributor of gloves and isolations gowns closed down production and shortages are impacting supply chain at Brookings Health and across the country. Due to the shortage, conservation strategies have been implemented at Brookings Health. 

 

CFO Report

Wagner stated as part of the CARES act, the Health Resources & Services Administration (HRSA) will pay COVID-19 related expenses for uninsured patients and between the Hospital and Avera Medical Group Brookings, 346 patients have been submitted for reimbursement. Wagner also provided a broad budget overview comparing 2021 to 2020.

CNO Report

Hillestad noted the Wound Care/HBO center go live dates have been set. The newly renovated wound care area will be ready to provide services on January 15, 2021 and Hyperbaric Oxygen therapy is targeted to begin February 1, 2021. Brookings Health is ramping up classes for staff and the community at the Ambulance/Education Center by providing small group sessions.

Administrative Committee Meeting

Committee member Wosje provided a report; the Administrative Committee met on December 8, 2020. Topics of discussion included Supplemental Executive Retirement Plan (introductory presentation), City Appointment – David Meyer, Hyperbaric Oxygen/Wound Care Program, 2021 Operational Budget, CEO Evaluation, Board Self-Evaluation, CEO Compensation – Data Gathering, Board Succession, 2021 Board Officer Elections, 2021 Committee Assignments/Succession and Board/Committee Meeting Dates. 

 

Building Committee

Committee Chair Englund provided a report; the Building Committee met on December 8, 2020. Topics of discussion included Equipment/Loader Garage, Wound Care/HBO – RestorixHealth, Fall Clean Up/Winter Readiness Electrical Updates and Facility Condition Assessment. 

 

Finance Committee:  

Committee Chair Peterson provided a report; the Finance Committee met on December 10, 2020. The committee reviewed and approved the payables, financials and adjustments for October.  Members also reviewed the proposed 2021 Operational Budget. Operating margins are budgeted at 2.26% for Enterprise and 5.90% for Legacy.

 

Wagner provided a summary of both the 2021 Legacy and Enterprise Operating budgets. She also presented data on the impact to the Enterprise budget due to the transition of the Avera Medical Group Brookings primary clinic to a Federally Qualified Health Center (FQHC)

 

            A motion was brought forward from the Finance Committee recommending approval of the FY21 Operational Budget as presented. The motion was seconded by Wosje. 

 

            Action: All present voted aye; motion carried.  

 

Quality Committee

Committee Chair Ellsworth provided a report; the Quality Committee met on December 8, 2020. Jennifer Chandler, Supply Chain Director and Rural Health Clinic Manager provided an overview of the Rural Health Clinic annual review process. Other topics of discussion included Q3 2020 Patient Experience Dashboard, Sleep Lab Accreditation and Q3 2020 Patient and Resident Safety. 

 

OLD BUSINESS

2021 Board and Committee Meeting Dates

Members agreed to finalize the 2021 Board and Committee meeting schedule. The proposed schedule mirrors the current schedule with no meetings being held in the months of May, July and November.  

 

A motion was made by Anderson, seconded by Krogh to approve the 2021 meeting schedule.

Annual Board Self Evaluation 

The Administrative Committee reviewed all responses from Board members and compiled results from evaluation forms. The evaluation questions are laid out according to the Board bylaws and core values. Anderson thanked members for participating and stated, overall, responses were very positive and the comments provided good feedback. 

 

Members thanked Anderson for her work on managing the evaluation process. 

 

NEW BUSINESS

Medical Staff Credentialing

A motion was made by Ellsworth, seconded by Peterson to approve the credentialing and re-credentialing for November and December as recommended by the Medical Executive Committee. 

 

Action:  All present voted aye; motion carried.  

 

2021 Board Officer Elections

Discussion took place regarding Board Officer Positions/Elections. Based on the discussion and proposed slate of officers, members were in agreement to elect Daryl Englund as President, Dick Peterson as Vice President and Sheila Anderson as Secretary.

 

A motion was made by Darnall, seconded by Wosje to approve the 2021 nomination of Board Officers as proposed.    

 

Action: All present voted aye; motion carried.

Farewell and Thank You to Walter Wosje

Merkley thanked Wosje for nine (9) years of service, leadership and dedication to Brookings Health System. Wosje has been very dependable, steadfast and unwavering in his commitment and was involved in many major accomplishments during his tenure since 2012. 

 

Wosje gave special appreciation to Morgan for his leadership as Board President during such an unusual year and wished the best of success to Brookings Health System.  All members thanked Wosje for his leadership and expressed appreciation for his time serving on the board as a model board member. 

 

EXECUTIVE SESSION

A motion was made by Anderson, seconded by Darnall to enter into Executive Session at 6:19 p.m. pursuant to SDCL 1-25-2.(1), discussing personnel. Members present: Morgan, Anderson Darnall, Ellsworth, Englund, Krogh, Peterson, Sell and Wosje; Merkley was also present; motion carried. 

 

While in executive session, Anderson presented CEO performance evaluations from the board and medical Staff. The board discussed the results and thanked Merkley for his service during this difficult year.  Merkley was excused. 

 

Anderson presented an overview of the components of compensation, regional comparables, SDAHO CEO compensation comparable metrics, Merkley’s compensation history, and the 2020 preliminary incentive program.  The board discussed Merkley’s positive and talented leadership, especially during this difficult year of COVID-19.  A motion was made by Anderson, seconded by Krogh, to exit the executive session at 6:41 p.m. and continue in regular session.  

 

A motion was made by Anderson, seconded by Wosje that the 2021 base pay for Merkley be set at $183.89 per hour.  

 

Action: All members present voted aye; motion carried. 

 

The Board discussed the positive outlook for COVID-19 vaccines and next steps for Brookings Health. 

  

Upon motion by Wosje second, by Anderson the meeting adjourned at 6:45 p.m.
