President Peterson called the meeting to order at 5:00 p.m. 

 

INVITED GUEST

Geoff Knobloch, CPA/Partner with Eide Bailly was welcomed and introduced. Knobloch presented an overview of the FY21 audit results. The audit is pending final approval from the State Department of Legislative Audit, however, Eide Bailly is prepared to issue a clean, unmodified audit opinion. 

 

Overall, Brookings Health System did very well and weathered the storm of the coronavirus pandemic. 2021’s year-end net position was $104 million in comparison to $83.7 million in 2020. Total revenue was $73.7 million with $63.4 million in operating expenses. Ratio and benchmark comparisons were favorable in relation to other South Dakota hospitals, Moody’s and the Optum database data. 2021’s year-end Operating Margin was 14.1%.

 

Knobloch also provided further explanation on Governmental Accounting Standards Board (GASB) and items having a significant impact to financial statements, i.e. decrease in pension expense and recoupment of Medicare Advanced Payments. Knobloch indicated the audit went very well and financial statements are in good order.  

 

Knobloch was thanked for his presentation and exited the meeting at 5:30 p.m.

Executive Reports

CEO Report

Merkley noted, this Wednesday, March 30th, is National Doctor’s Day, an annual observance aimed at appreciating the contribution of physicians who serve our community and surrounding area. Without them, Brookings Health wouldn’t be where it is today and please take time to thank them for their service. Each local physician will receive a token of appreciation from Brookings Health System for Doctor’s Day. Merkley also stated a meeting will be held this week with Avera’s IT Team to discuss and review Meditech’s electronic health record and opportunities for improvement within the platform.

 

CFO Report

Wagner provided further information on the timing of Provider Relief Fund reporting phases and details relating to use of funds for each of the four (4) phases. The second phase of reporting, relating to relief funds for nursing homes, has been completed which had a due date of March 31st. Reporting on the use of funds is expected to continue for another two (2) years. Wagner also mentioned there will be a rebasing of rates resulting in an increase in the payment from the Rural Community Health Demonstration (RCHD) program which is currently in its third extension.  

 

CNO Report

Hillestad commented, after over 40 years of service, Mary Schwaegerl, OB Director, has announced her retirement. Mary has done a phenomenal job in the OB department for the last 12 years. In addition to Mary, Lynne Thompson, Case Management/Respiratory Care Director, has also announced her retirement. Lynne has been with Brookings Health for over 30 years. Both of these women have been pillar leaders for Brookings Health and will be greatly missed. 

 

Board Committee Reports

Administrative Committee Meeting

Committee member Englund provided a report; the Administrative Committee met on March 22, 2022. Topics of discussion included Employee Appreciation Week, Eide Bailly FY21 Audit, Northern Plains Health Network (NPHN) Coordinator, Legislative Update/Recap, Avera and BHS Home Medical Equipment Joint Venture, HOSA – Future Health Professionals, Avera Health Board of Consultors, BREATHE-SD Grant and Team Isaac. 

 

Finance Committee:  

Committee Chair Anderson provided a report; the Finance Committee met prior to the Board meeting today, March 28th. The committee reviewed and approved the payables, adjustments, and financials for February.  Geoff Knobloch, CPA/Partner with Eide Bailly provided a detailed review of the FY21 audit report. February’s Finance Committee Meeting minutes will be included with the consent agenda in next month’s board packet for approval.

 

Quality Committee

Committee member Ellsworth provided a report; the Quality Committee met on March 22, 2022, 2022. Topics of discussion included an update on Q3/Q4 2021 BHS/NBV Falls and Medications Errors as well as Q3/Q4 2021 Patient Experience survey results. A report was also given on the NRHA Top 20 Rural Hospital Award. 

 

Executive Session

A motion was made by Englund, seconded by Morgan to enter into Executive Session at 6:06 p.m. in accordance with SDCL 1-25-291, discussing personnel.  Members present were: Peterson, Anderson, Darnall, Englund, Ellsworth, Greene, Meyer and Morgan.  Motion carried.

 

While in executive session, the Board discussed formulas for Merkley’s 2021 incentive. Upon motion by Englund, second by Meyer, the executive session concluded at 6:15 p.m. and continued in regular session.  

 

 

Upon motion by Anderson, second by Greene the meeting adjourned at 6:25 p.m. Motion carried unanimously.
