Merkley commented articles provided both positive yet challenging times. Workforce and nursing shortages continue to be in the spotlight. The Nurse Journal article rates South Dakota as having one of the best nurse to patient ratios in the country.

Executive Reports
CEO Report
Merkley shared South Dakota Association of Healthcare Organizations (SDAHO) launched a campaign and is producing a monthly video series called Hometown Healthcare Heroes Spotlight that focuses on healthcare workforce and local community amenities and job opportunities. The goal of the campaign is to recognize and celebrate SDAHO’s member facilities and the people that work there while showing off what each community has to offer to future workforce (recruitment). Board members viewed Brookings Health’s video which also highlighted the business environment and other amenities in Brookings and the surrounding area. It was also noted, Merkley will become SDAHO’s Board President in 2023.
CFO Report
Wagner shared information regarding the Rural Emergency Hospital (REH) designation. CMS recently updated rules that outline criteria for conditions of participation which may make it possible for Brookings Health System to potentially become a Critical Access Hospital (CAH) in the future. Options and feasibility will continue to be explored by Wagner in FY23. Wagner also shared a brief review of the Investment Authority since its inception in 2018.
CNO Report
Hillestad provided an update on the Community Health Worker (CHW) program which continues to have a positive impact on the health of patients by connecting them with community resources.
Board Committee Reports
Administrative Committee
Committee member Englund provided a report; the Administrative Committee met on December 13, 2022. Topics of discussion included the AHA Rural Health Care Leadership Conference, SD Department of Health Survey, Legislative Session/Governors Address, FY23 Operating Budget, 2023 Board of Trustees Meeting Dates, Officer Elections, Committee Structure, and the Board Self Evaluation. Committee members also reviewed options for Year-end Employee Recognition. A recommendation was brought forward from the Committee to reward staff at the highest tier level. A motion to approve the recommendation was made by Englund, seconded by Morgan.
Action: All present voted in favor. Motion carried.
Merkley noted, Brookings Health had a phenomenal year compared to many other organizations and we are very fortunate and pleased to be able to reward our staff with this significant bonus. The bonus will be paid to staff on December 30, 2022.
Finance Committee
Committee member Morgan provided a report; the Finance Committee met on December 13, 2022. The committee reviewed and approved the payables, adjustments, and financials for October. Members also reviewed the proposed 2023 Operating Budget. Wagner provided a review of the highlights of both the 2023 Legacy and Enterprise Operating budgets. Operating margins are budgeted at 2.51% for Enterprise and 4.06% for Legacy.
A motion was brought forward from the Finance Committee recommending approval of the FY23 Operating Budget as presented. The motion was seconded by Englund.
Action: All present voted in favor; motion carried.
Quality Committee
Committee Chair Krogh provided a report; the Quality Committee met on December 13, 2022. Director of Obstetrics, Michelle Sand, presented information on an OB Performance Improvement Project focusing on identifying hypertension in pregnancy and postpartum. Other topics of discussion included 2022 System Wide PI Projects, Blood Utilization Program, Influenza Vaccination Update, SD Department of Health Survey and Quality Awards attained in 2022.
OLD BUSINESS
2023 AHA Rural Health Care Leadership Conference
Merkley noted, members planning to attend the American Hospital Association (AHA) Rural Health Care Leadership Conference in February are Morgan, Meyer, and new city appointee Greiner. Merkley is also planning to attend.
2023 Board Calendar
Proposed board and committee meeting dates for 2023 were reviewed and finalized.
NEW BUSINESS
Medical Staff Credentialing
A motion was made by Morgan, seconded by Krogh to approve all credentialing as recommended by the Medical Executive Committee.
Action: All present voted in favor; motion carried.
2023 Board Officer Elections
Discussion took place regarding Board Officer Positions/Elections. Based on the discussion and proposed slate of officers, members agreed to re-elect Dick Peterson as President, Sheila Anderson as Vice President, and Lynn Darnall as Secretary. A motion was made by Englund, seconded by Meyer to approve the 2023 nomination of Board Officers as proposed.
Action: All present voted in favor; motion carried.

Annual Board Self Evaluation
Discussion took place on the results from the Annual Board Self-Evaluation. The evaluation questions are laid out according to the Board bylaws and core values. Self-development and strategic planning for the future are areas to focus on going forward. Members were thanked for participating and stated, overall, responses were very positive, and the comments provided good feedback. It was suggested to address results throughout the year.
Farewell and Thank You to Daryl Englund
President Peterson thanked Englund for his expertise and leadership and expressed sincere appreciation for nine (9) years of service and dedication to Brookings Health System. Englund was an integral part of the Building Committee and decision making process for the expansion and renovation project.
Englund noted, the Hospital Board of Trustees is one of the best boards he has served on and thanked fellow board members for their involvement and support.
Upon motion by Englund, second by Morgan, the meeting adjourned at 6:05 p.m. Motion carried unanimously.
