The Brookings Health System Board of Trustees held a meeting on March 27, 2023, at the Brookings Hospital in the Board Room with the following members present: Dick Peterson, Sheila Anderson, Lynn Darnall, Andrew Ellsworth, Tracy Greene, Don Greiner, David Meyer, Jim Morgan; Ex-officio: Brianna Doran

President Peterson called the meeting to order at 5:00 p.m.
INVITED GUEST
Geoff Knobloch, CPA/Partner with Eide Bailly was welcomed and introduced. Knobloch presented an overview of the FY22 audit results. The audit is pending final approval from the State Department of Legislative Audit, however, Eide Bailly is prepared to issue a clean, unmodified audit opinion. Knobloch indicated, overall, the audit went very well and financial statements are in good order. 2022’s year-end net position was $105 million and total revenue was $75 million with $68.8 million in operating expenses. Governmental Accounting Standards Board (GASB) and items having an impact to financial statements were reviewed. Ratio and benchmark comparisons were favorable in relation to other South Dakota hospitals, Moody’s and the Optum database data. 2022’s year-end Operating Margin was 8.3%.
Knobloch commented many other hospitals in the region are not fairing as well as Brookings Hospital with nearly 60% having debt covenant issues due to losses, staffing, and operational challenges.
Knobloch was thanked for his presentation and exited the meeting at 5:22 p.m.

Executive Reports
CEO Report
Merkley noted a new CT scanner will be installed this week. The new scanner will have faster and better imaging capabilities over the previous machine. Merkley also noted Brittany Venekamp has been named the new Brookings Health System Foundation Director.
CFO Report
Wagner provided information on Axiom, a new financial reporting software that was recently rolled out. Axiom has many capabilities and will allow directors easier access to view financial details and key performance indicators. Wagner also provided a recap of audit entries that were made after year end.
CNO Report
Hillestad commented on the new partnership with Avera for the Cardiac Connected Care Program which is a 90-day program to support patients with congestive heart failure (CHF). The program utilizes remote patient monitoring technology to help reduce readmissions.

Administrative Committee Meeting
Committee member Darnall provided a report; the Administrative Committee met on March 21, 2023. Topics of discussion included BHS’s Investment Authority, Legislative Session Recap, Hospice House, City Ordinance Chapter 42, Eide Bailly Audit, Sports Performance Center, Strategic Plan and Hospitalist Program/Inpatient Coverage.
Finance Committee
Committee Chair Anderson provided a report; the Finance Committee met prior to the Board meeting today, March 27th. The committee reviewed and approved the payables, adjustments, and financials for January and February. Total salaries and wages for February were $2,274,179. Geoff Knobloch, CPA/Partner with Eide Bailly provided a detailed review of the FY22 audit report. February’s Finance Committee meeting minutes will be included with the consent agenda in next month’s board packet for approval.
Quality Committee
Committee member Ellsworth provided a report; the Quality Committee met on March 21, 2023. Registered Dietician, Katy VanderWal, presented information on diagnosing malnutrition and tracking weight loss in long-term-care. Other topics of discussion included an update on Q3/Q4 2022 Hospital and The Neighborhoods at Brookview Falls and Medications Errors as well as Q3/Q4 2022 HCAHPS and Patient Experience survey results. A report was also given on the National Rural Health Association (NRHA) Top 20 Rural Community Hospital Award and that Brookings Health achieved number 1 of the Top 20 rural hospitals in the nation.
OLD BUSINESS
City Ordinance – Chapter 42
Merkley noted, a redlined version of potential updates has been forwarded to the Mayor, City Manager and City Council for consideration. The updates address grammatical and operational corrections that more clearly align with the board and hospital current operations. Merkley will await a response from the City if further information is needed.
NEW BUSINESS
April’s Board Meeting
Merkley informed members the April Board meeting will be held at the SDSU Foundation building. A reception will be held at 5pm with the meeting to follow.
Upon motion by Morgan, second by Greene, the meeting adjourned at 5:55 p.m. Motion carried unanimously.
